MANTI, INC. CHARTER PROGRAM ADDENDUM
This Charter Program Addendum (the "Addendum") supplements and modifies Manti's Terms of Service and Privacy Policy (collectively, the "Standard Terms") with respect to subscribers participating in the Charter Program. Capitalized terms used but not defined in this Addendum have the meanings given in the Standard Terms. In the event of any conflict between this Addendum and the Standard Terms during the Charter Period, this Addendum controls.
1. CHARTER PROGRAM
1.1 What the Charter Program Is
The Charter Program is Manti's early access program for the Platform. During the Charter Period, you have access to the Platform at Charter pricing, with enhanced confidentiality treatment for all content you upload to Manti's cloud services, regardless of your subscription tier.
1.2 Charter Eligibility
The Charter Program is available to subscribers on the Basic ($25/month), Builder ($100/month), and Pro ($200/month) tiers. Enterprise tier subscribers receive Enterprise-level data protection at all times pursuant to the Standard Terms, regardless of the Charter Program.
2. CHARTER PERIOD
2.1 Duration
The Charter Period begins on the Effective Date of your subscription and continues until ended by Manti as described below. The Charter Program is a time-limited early access program. Manti does not commit to any minimum duration for the Charter Program and may end it at any time, in its sole discretion, by providing the notice described in Section 2.2.
2.2 Ending the Charter Period
Manti may end the Charter Program at any time by providing at least sixty (60) days prior written notice to the email address associated with your account. The date specified in the notice (the "Charter End Date") is the date on which Charter Program treatment ceases and you must select one of the options in Section 4 of this Addendum.
2.3 Notices
Manti will provide notices regarding the end of the Charter Period at the following intervals before the Charter End Date:
Sixty (60) days before the Charter End Date
Thirty (30) days before the Charter End Date
Seven (7) days before the Charter End Date
Each notice will describe the options available to you and provide a one-click method to make your selection.
3. CHARTER PROGRAM DATA TREATMENT
3.1 Confidential Treatment During Charter Period
Notwithstanding Section 5.3 of the Standard Terms (Training Rights for Basic, Builder, and Pro Tiers), during the Charter Period:
(a) Your Content and Outputs uploaded to or generated by Manti's cloud services are treated as confidential.
(b) Manti will not use Your Content or Outputs to train, fine-tune, evaluate, or otherwise improve our artificial intelligence or machine learning models during the Charter Period.
(c) Your Content is encrypted in transit, isolated to your account, and not accessed by Manti's operators except as necessary to provide the requested services or as required by law.
3.2 Local Project Content
Content created and stored locally on your device through Manti Desktop's project workspace remains on your device and is not transmitted to Manti, consistent with the Standard Terms. The Charter Program does not change this treatment.
4. CHARTER END DATE OPTIONS
On or before the Charter End Date, you must select one of the following options. If you do not select an option by the Charter End Date, Option 4 (Auto-Cancellation) applies by default.
4.1 Option 1: Upgrade to Enterprise Tier
If you select Option 1:
(a) Your subscription transitions to the Enterprise tier as defined in the Standard Terms, with pricing of $600/month for three (3) seats minimum and $200 per additional seat.
(b) All Your Content (including content uploaded during the Charter Period) and all future content will continue to be treated as confidential and will not be used to train Manti's AI models, pursuant to Standard Terms Section 5.4.
(c) Billing transitions to Enterprise pricing on the Charter End Date.
4.2 Option 2: Continue on Current Tier, Delete Past Data
If you select Option 2:
(a) Your subscription continues at your current Charter pricing as a Consumer tier (Basic, Builder, or Pro) subscription under the Standard Terms.
(b) Manti will delete from its servers all chat content, prompts, attachments, and other content you uploaded to Manti's cloud services during the Charter Period within thirty (30) days of your selection, subject to standard backup retention with deletion in the ordinary course.
(c) Content you upload after the Charter End Date may be used to train Manti's AI models pursuant to Standard Terms Section 5.3.
(d) Local content stored on your device through Manti Desktop's project workspace is not affected and remains under your control.
4.3 Option 3: Continue on Current Tier, Retain Past Data, Consent to Training
If you select Option 3:
(a) Your subscription continues at your current Charter pricing as a Consumer tier subscription under the Standard Terms.
(b) You expressly grant Manti the rights described in Standard Terms Section 5.3 with respect to all of Your Content and Outputs, including content uploaded during the Charter Period. This grant of license is perpetual and irrevocable with respect to content already uploaded as of your selection, and you acknowledge that content already used to train Manti's AI models cannot be removed from a trained model. This Section does not waive or limit any data privacy right you have under applicable law, including any right to request deletion of source data from Manti's active databases or to opt out of future processing; the irrevocability described above applies to the license granted, not to your statutory privacy rights.
(c) Selection of this option requires explicit acknowledgment, which Manti will collect through a separate, dedicated consent confirmation at the time of selection. The acknowledgment will state, in substantially the following form:
"I understand that by choosing this option, all content I uploaded during the Charter Period (chat history, prompts, attachments, and other content stored on Manti's servers), as well as all content I upload going forward, may be used to train Manti's AI models. I understand that the license I grant for content already uploaded is irrevocable, and that once content has been used to train a model it cannot be removed from that model. I understand that this does not waive my privacy rights under applicable law, and that I may still request deletion of my source data and opt out of future processing as described in the Privacy Policy."
4.4 Option 4: Auto-Cancellation (Default)
If you do not select Option 1, 2, or 3 on or before the Charter End Date:
(a) Your subscription will be automatically canceled at the end of your then-current billing period following the Charter End Date.
(b) Your account will be deactivated and access to Manti's cloud services will be suspended.
(c) For thirty (30) days after deactivation (the "Reactivation Window"), you may reactivate your account by selecting Option 1, 2, or 3. During the Reactivation Window, your data is preserved but inaccessible.
(d) After the Reactivation Window expires, your account and all associated data on Manti's servers will be permanently deleted, subject to standard backup retention with deletion in the ordinary course.
(e) Any unused pre-paid subscription amounts will be refunded on a pro-rata basis.
(f) Local content stored on your device through Manti Desktop is not affected by auto-cancellation and remains under your control.
5. ACKNOWLEDGMENTS
By participating in the Charter Program, you acknowledge and agree:
(a) The Charter Program is a time-limited early access offering and is not a permanent feature of the Platform.
(b) Manti may end the Charter Program at any time in its sole discretion by providing sixty (60) days written notice, and is not committed to any minimum duration for the Charter Program.
(c) On the Charter End Date you must make an affirmative choice among Options 1, 2, or 3, or your account will be canceled and your data eventually deleted pursuant to Option 4.
(d) Charter pricing is a special introductory rate and may differ materially from standard pricing for comparable features at the Charter End Date.
6. MISCELLANEOUS
6.1 Order of Precedence
In the event of any conflict between this Addendum and the Standard Terms during the Charter Period, this Addendum controls. After the Charter Period ends, the Standard Terms control without reference to this Addendum, except as expressly preserved (such as the deletion of Charter Period data under Option 2 or the training consent under Option 3).
6.2 Modifications
Manti may update this Addendum from time to time with notice to subscribers. No modification or waiver of this Addendum is effective unless in writing.
6.3 No Other Changes to Standard Terms
Except as modified by this Addendum, the Standard Terms remain in full force and effect.

By creating an account, selecting a Charter tier, or continuing to use the Platform during the Charter Period, you acknowledge that you have read, understood, and agree to be bound by this Charter Program Addendum in addition to the Standard Terms.
